1.1. These Terms and Conditions, hereinafter the Terms, govern the use of the website gtpartner.org, hereinafter the Website, and the provision of services by Digital Invest OÜ, operating under the GTPartner.ORG brand, hereinafter the Company.
1.2. The contract between the Company and the Client consists of these Terms, the description of the service on the Website and the individual offer or invoice. Where individual arrangements confirmed in writing or by e-mail differ from these Terms, the individual arrangements prevail.
1.3. By ordering or paying for a service, the Client confirms that it has read and agrees to these Terms. By using the Website, a visitor agrees to section 14.
4.1. The Company registers and liquidates companies, provides legal address and contact person services, keeps accounts and prepares tax returns, registers companies for VAT, provides consultations, drafts and processes documents and provides other services described on the Website.
4.2. Descriptions of services and prices on the Website are for information purposes only and do not constitute an offer. The scope, price and timeframe are finally agreed in the offer or invoice.
4.3. The Company provides the services in accordance with Estonian law and with professional diligence. Timeframes stated on the Website are indicative.
4.4. Many outcomes depend on decisions of third parties, such as the Commercial Register, the Tax and Customs Board, the Police and Border Guard Board, banks and payment institutions. The Company prepares the documents and assists throughout the process, but cannot guarantee that such decisions will be positive or will be made within a particular timeframe.
4.5. Consultations are provided on the basis of the information supplied by the Client and the legislation in force on the date of the consultation. Representation before courts and public authorities is not included in the Services unless separately agreed.
5.1. The Client may submit a request through the form on the Website, by e-mail, by telephone or via a messenger, or may book a call. Registration on the Website is not required.
5.2. The Company responds with an offer or invoice setting out the service, the price and, where possible, the timeframe. Before payment, the Client may correct the order details by replying to that e-mail.
5.3. The contract is deemed to be concluded when the Client has paid the invoice or has confirmed the order in a form that can be reproduced in writing, for example by e-mail. The Company retains the offer, the invoice and the correspondence and sends the Client a copy of them upon request.
5.4. The contract is concluded in one of the languages of the Website, as agreed between the parties.
5.5. The Company may refuse to conclude a contract without giving reasons, in particular if the due diligence of the Client under section 6 has not been completed or if the service would be contrary to law.
6.1. As an obliged entity under the Money Laundering and Terrorist Financing Prevention Act, the Company must, before and during the business relationship, identify the Client, its representatives and beneficial owners. It must also ascertain the purpose and nature of the business relationship and the source of funds, and check politically exposed person status and sanctions lists.
6.2. The Client must provide the information and documents requested and, where necessary, undergo identification in person or by means of electronic identification. Provision of the Services begins after the due diligence has been successfully completed.
6.3. The Client must notify the Company without delay of any changes to its details, the composition of its management board, its shareholders, its beneficial owners and its contact details.
6.4. The Company must refuse to establish, or must terminate, a business relationship if the Client fails to provide the required information or if the risk of money laundering, terrorist financing or breach of sanctions is unacceptably high. The Company may be required to report suspicious activity to the Financial Intelligence Unit, and the law prohibits it from notifying the Client thereof.
6.5. How the Company processes personal data is described in the Privacy Policy.
7.1. Prices are stated in euros. Unless otherwise indicated next to the price, the price is exclusive of VAT, and VAT is charged in addition in accordance with the Value Added Tax Act. The final price is stated in the offer or invoice.
7.2. Unless otherwise indicated, the price does not include state fees, notarial services, translations, postage or other costs payable to third parties. These are paid by the Client separately.
7.3. Unless otherwise agreed, the Services are provided on a full prepayment basis. An invoice must be paid within the term stated in it.
7.4. Methods of payment:
7.5. In the event of late payment, the Company may suspend the provision of the Services until payment is received and claim late payment interest at the rate laid down in the Law of Obligations Act (võlaõigusseadus).
7.6. The price of an order that has been paid does not change. The Company may change the prices of Recurring Services with effect from the next period by notifying the Client by e-mail at least 30 days in advance.
8.1. Recurring Services are paid in advance for the period stated in the invoice, usually one month or one year. Unless either party has terminated the contract, it is renewed for the same period and the Company issues an invoice for the next period.
8.2. The Client may opt out of renewal by notifying the Company by e-mail before the start of the next period. The fee for the current paid period is non-refundable unless otherwise provided in section 9.
8.3. If the invoice for a new period is not paid within 14 days after the due date, the Company may terminate the service. The Company may notify the Commercial Register of the termination of legal address or contact person services. The Client is solely responsible for designating a new address or a new contact person for its company in good time, as required by the Commercial Code (äriseadustik).
8.4. The Company may terminate a Recurring Service by giving the Client 30 days’ notice. It may do so without notice in the event of a material breach of the contract by the Client or in the cases specified in clause 6.4.
8.5. The Company forwards documents and letters received at the legal address or by the contact person to the Client in the manner described in the service, usually as a scanned copy by e-mail. The Client is responsible for monitoring and responding to such communications.
9.1. A service that has already been provided cannot be cancelled, and no refund is given for it.
9.2. If the Client cancels an order before the service has been provided, the Company refunds up to 50% of the amount paid, depending on the extent of the work already performed. State fees and third-party costs already paid on the Client’s behalf are non-refundable.
9.3. If the service cannot be provided for reasons attributable to the Client, for example because of false or incomplete information or because the Client has not passed the due diligence under section 6, the service is deemed to have been provided and no refund is given.
9.4. If the Company is unable to provide the service for reasons attributable to itself, it refunds in full the amount paid for the part of the service not provided.
9.5. Refunds are made within 14 days using the same method as was used for payment, unless the parties agree otherwise.
9.6. A Consumer who has concluded a distance contract may withdraw from it within 14 days of its conclusion without giving any reason. To do so, it is sufficient to send a notice of withdrawal to info@gtpartner.org.
9.7. If the Consumer has requested that performance of the service begin before the end of that period and subsequently withdraws from the contract, the Consumer shall pay for the part of the service provided before the withdrawal in proportion to its total price. If the service has been fully performed at the express request of the Consumer and the Consumer has acknowledged the loss of the right of withdrawal, the right of withdrawal expires.
9.8. The Company refunds the Consumer no later than 14 days after receiving the notice of withdrawal. Clauses 9.1–9.3 apply to the Consumer only to the extent that they do not restrict the Consumer’s statutory rights.
11.1. The Company is liable for damage caused by a breach of contract attributable to it. The Company’s total liability under the contract is limited to the amount paid for the relevant service. For Recurring Services, it is limited to the amount paid for the last 12 months.
11.2. The Company is not liable for loss of profit or indirect damage. Nor is it liable for consequences arising from inaccurate, incomplete or untimely information provided by the Client, from decisions of public authorities, banks and other third parties, from failures of state information systems, or from the Client’s failure to act upon documents forwarded to it.
11.3. The limitations of liability do not apply where damage has been caused intentionally or through gross negligence, and do not restrict the statutory rights of the Consumer.
11.4. The Client is liable for damage caused to the Company by false information or by a breach of the Client’s obligations.
11.5. The parties are not liable for non-performance of their obligations if it is caused by force majeure, that is, circumstances that the party could neither control nor foresee.
12.1. The Company keeps confidential the information about the Client and its affairs that has become known to the Company in the course of providing the Services.
12.2. Such information may be disclosed where required by law, for example at the request of the Financial Intelligence Unit, the tax authorities, the police or a court. It may also be disclosed if the information is already publicly available, if the Client has consented to the disclosure, or if disclosure is necessary for the provision of the service to a notary, a translator, a public authority or other recipients bound by confidentiality obligations.
12.3. Personal data is processed in accordance with the Privacy Policy.
13.1. The primary channel of communication is e-mail. A message sent to the address specified by the Client is deemed to have been received on the business day following the day on which it was sent.
13.2. The Client must keep its contact details up to date.
14.1. The information on the Website is of a general nature and does not replace individual legal or tax advice. The Company endeavours to keep it up to date, but legislation changes, so it is recommended that advice be obtained before any decisions are made.
14.2. The materials on the Website, including texts, images and design, belong to Digital Invest OÜ or its licensors and are protected by copyright. Materials may be quoted with an active link to the source page. Copying materials in full or using them for commercial purposes is permitted only with the written permission of the Company.
14.3. It is prohibited to disrupt the operation of the Website, to download its content in bulk by automated means or to send spam through its forms.
14.4. The Company is not responsible for the content of third-party websites to which links are provided.
15.1. The Company may amend these Terms. The new version is published on this page together with its date and applies to orders placed after its publication.
15.2. The Company notifies Clients with active Recurring Services of amendments by e-mail at least 30 days before they take effect. If the Client does not agree, it may terminate the contract before that date.
16.1. These Terms and the contract are governed by Estonian law.
16.2. Claims shall be sent to info@gtpartner.org. The Company responds to them within 15 days. The parties shall endeavour to resolve any dispute by negotiation.
16.3. If the dispute cannot be resolved, it shall be settled by Harju County Court (Harju Maakohus).
16.4. The Consumer may also apply to the Consumer Disputes Committee at the Consumer Protection and Technical Regulatory Authority (Tarbijakaitse ja Tehnilise Järelevalve Amet) through the website www.ttja.ee. The Consumer may also bring an action before the court of their place of residence where provided for by law. The choice of court in clause 16.3 does not deprive the Consumer of this right.
17.1. If any provision of these Terms proves to be invalid, the remaining provisions remain in force.
17.2. These Terms are published in several languages. In the event of any discrepancy between the language versions, the English version prevails.
