Frequently Asked Questions

How much does it cost to register a company in Estonia in 2026?

Registering an OÜ company through GTPartner.ORG with a valid e-Residency costs from €49 plus a state fee of €265. The basic total is €314, excluding additional services and applicable VAT.

The company registration package, including a legal address in Tallinn and a contact person, costs €149, while the package that also includes the first month of accounting services costs €179. The state fee is paid separately. Company registration through a notary starts from €380 for assistance; the state fee, notary fees, and preparation of a power of attorney are charged separately. Before starting the process, we agree on the scope of services and the final cost estimate.

How long does it take to open a company in Estonia?

With a valid e-Residency and a complete set of documents, online registration of an OÜ usually takes one business day after submitting the application. Additional inquiries from the Business Register may extend the processing time.

For registration through a notary, the estimated processing time is up to five business days after the documents have been submitted. Preparing and sending a power of attorney, as well as waiting for a notary appointment, requires additional time. GTPartner.ORG reviews the documents, prepares the application, and assists throughout the registration process until the registration decision is issued.

How can I open a company in Estonia remotely, without visiting Estonia or having e-Residency?

You can establish a company without traveling to Estonia in two ways: online using e-Residency or through an authorized representative with a notarized power of attorney.

If you do not have e-Residency, GTPartner.ORG prepares a power of attorney tailored to your circumstances and confirms the documentation requirements. You sign the power of attorney before a notary in your country and send us the original. Depending on the country, an apostille or legalization and translation may be required. We then arrange the company registration through an Estonian notary.

Can a foreigner open a company in Estonia without a residence permit?

Yes. In general, establishing an Estonian OÜ does not require EU citizenship, an Estonian residence permit, or residence in Estonia. A foreign national can be the sole shareholder and a member of the company's management board.

Eligibility for our services depends on citizenship, sanctions restrictions, business activities, and the results of mandatory customer due diligence. GTPartner.ORG conducts a preliminary document review and helps select the most suitable registration method. However, establishing a company or obtaining e-Residency does not, in itself, grant the right to reside in Estonia or guarantee the opening of a bank account.

What taxes does a company pay in Estonia in 2026?

As a general rule, undistributed profits of an Estonian company are not subject to corporate income tax in Estonia. When dividends are distributed, the standard tax rate is 22/78 of the net distribution. For example, if a shareholder receives €780 in dividends, the company pays €220 in corporate income tax.

Tax obligations may also arise from non-business expenses, employee fringe benefits, and other taxable payments. The standard VAT rate is 24%. Payroll taxes and social contributions depend on the place of employment and applicable regulations. GTPartner.ORG helps organize accounting and determine the company's tax obligations in Estonia.

Where does the owner of an Estonian company pay taxes if they live in another country?

Registering an OÜ in Estonia does not mean that all taxes will be paid exclusively in Estonia. The country from which the business is actually operated or managed may consider the company a tax resident or determine that it has a permanent establishment there.

The owner's personal income, including dividends and salary, is assessed separately under the tax rules of their country of tax residence. Controlled Foreign Company (CFC) rules may also apply. Before registering a company, it is advisable to review these matters with a local tax professional. GTPartner.ORG can explain the Estonian tax obligations and help prepare the necessary company information.

What documents are required to open a company in Estonia?

Generally, you will need a passport or another accepted identity document, details of shareholders and management board members, information about ultimate beneficial owners (UBOs), residential addresses, and a description of the planned business activities. Customer due diligence may also require proof of address, information about the source of funds, and additional supporting documents.

You must also determine the company name, shareholders' ownership percentages, share capital, principal business activity, registered address, and contact details. Online registration requires electronic signatures using e-Residency from all individuals who must sign the documents. Registration through a representative requires a notarized power of attorney. GTPartner.ORG provides the required document checklist in advance and prepares the registration application.

When does an Estonian company need a legal address and a contact person?

An Estonian company must have a valid registered address in the Commercial Register. This address may be located in Estonia or abroad. If the company's registered address is outside Estonia, it must appoint a contact person in Estonia who meets the legal requirements.

The contact person receives official documents and forwards them to the company. A contact person does not become a director or acquire the authority to manage the business. GTPartner.ORG provides a legal address in Tallinn and contact person services for €120 per year for the service.

How much does it cost to maintain a company in Estonia per year?

The costs depend on the company's business activity, number of transactions, employees, and tax reporting obligations. At GTPartner.ORG, the legal address and contact person package costs €120 per year, while accounting services start from €40 per month.

With monthly accounting services, the basic estimated cost is from €600 per year: €120 + 12 × €40. Preparation of the annual report is charged separately unless included in the selected service plan. Bank fees, taxes, and additional services are also calculated separately. If the company is inactive, the required services and reporting costs are determined individually.

What reports and tax declarations must an Estonian company submit after registration?

A company is required to maintain accounting records and submit an annual report within six months after the end of its financial year. If the financial year follows the calendar year, the usual deadline is June 30 of the following year. An annual report must be submitted even if the company has had no business activity.

When taxable payments or other reportable circumstances arise, the TSD declaration must be submitted, generally by the 10th day of the following month. VAT-registered companies must submit the KMD VAT return monthly, usually by the 20th day of the following month. GTPartner.ORG helps maintain accounting records, prepare reports, and monitor deadlines. The scope of services is specified in the service agreement.
